Proposal for Services Terms and Conditions
1. Acceptance
Our “Proposal for Services” constitutes an offer by Catherine O'Kane of ADHD Partners (ABN 83 571 274 433) to provide the services to the specified “Corporate Client.” A proposal is valid until the date indicated. Acceptance is effected by the providing written confirmation of acceptance via email to reception@adhdpartners.coach, together with payment of the 20% deposit. No booking is confirmed until the deposit has been received.
2. Nature of Services
The “Training Package” is a group awareness or training presentation. It does not constitute individual coaching, counselling, psychotherapy, or therapeutic support, and should not be relied upon as a substitute for legal, medical, human resources, or other professional advice. Any individual coaching sessions booked as add-ons or as part of a Tier 3 offering are subject to a separate Service Agreement between ADHD Partners and each individual participant as “the Client”, and ADHD Partners and the “Corporate Client” as “the Financial Sponsor”.
3. Scope of Services
The services to be delivered are as described in the accepted “Proposal for Services.” Any services outside the agreed scope — including additional resources prepared after delivery, follow-up consultation, or attendance at meetings — will be quoted and invoiced separately. All ADHD Partners coaches reserve the right to decline requests that fall outside their area of expertise, and will advise the Client or Corporate Client if this is the case.
4. Attendee Numbers
The “Proposal for Services” is based on a specified expected attendance number. If the expected number of attendees changes significantly, ADHD Partners reserves the right to review and revise the quoted fee prior to confirming the booking.
5. Recording of the Session
Training sessions may not be recorded (by audio, video, or any other means) by the Client or any attendee without the prior written consent of Catherine O'Kane. Any request to record a session should be made at the time of booking. An audio recording of the session will be made by Catherine on the day, to assist with the preparation of follow up information and resources as required, and for internal quality improvement processes.
6. Intellectual Property
All materials prepared and delivered by Catherine O'Kane in connection with the services described in this proposal — including but not limited to slide decks, resource packs, handouts, and frameworks — remain the intellectual property of ADHD Partners at all times. The Client is granted a non-exclusive licence to use the materials for internal purposes only. Materials may not be reproduced, adapted, shared externally, or used for any commercial purpose without the prior written consent of ADHD Partners.
7. Confidentiality
Both parties agree to maintain the confidentiality of any information disclosed by the other party in the course of this engagement. ADHD Partners will not disclose information about the Corporate Client, its employees, or its operations to any third party, except as required by law or with the express written consent of the Corporate Client. The Corporate Client acknowledges that information shared during individual coaching sessions (where applicable) will be held in confidence by ADHD Partners in accordance with the terms of the relevant individual Service Agreements.
8. Liability
To the extent permitted by law, the total aggregate liability of ADHD Partners arising under or in connection with an engagement is limited to the total fees paid by the Corporate Client as outlined in the Proposal for Services. ADHD Partners excludes all liability for indirect, consequential, or economic loss. Nothing in this clause excludes liability that cannot be excluded under the Australian Consumer Law.
9. Force Majeure
Neither party will be in breach of this agreement as a result of any delay or failure to perform obligations due to circumstances beyond their reasonable control, including illness, natural disaster, or other force majeure events. In such circumstances, the affected party will notify the other as soon as reasonably practicable, and the parties will work together in good faith to reschedule the engagement.
10. Professional Conduct
ADHD Partners maintains a zero-tolerance policy for any form of abuse, harassment, or threatening behaviour directed towards any representative or employee of ADHD Partners. Any such conduct during the delivery of a service will result in the immediate cessation of the service, with the full fee remaining payable.
11. Dispute Resolution
The parties agree to use their best endeavours to resolve any dispute arising from this engagement through good-faith negotiation before commencing any legal proceedings. The Proposal for Services and any subsequent agreement arising from such a proposal is governed by the laws of the State of Victoria, Australia.
12. GST
All prices stated in this proposal are inclusive of Goods and Services Tax (GST) where applicable. ADHD Partners is registered for GST. A tax invoice will be issued for each payment.
